Terms of Service

These terms are a contract between you and MesuPro ("we", "us") for the use of www.mesupro.com and the MesuPro application (the "service"). By creating an account, you accept them. If you create an account on behalf of a business, you confirm that you have the authority to bind it.

1. The service

MesuPro lets you take notes and measurements in the field using templates (sections, tables, formulas), attach photos and export the results to PDF and Excel, on your own or as a team.

2. Account

You must provide accurate information and keep your password confidential. You are responsible for activity under your account and must tell us promptly about any unauthorized use. An organization's administrator manages its members, their roles and their access.

3. Free trial

Each new organization gets a 14-day free trial, with no payment card required. At the end of the trial, if no subscription is started, the account becomes read-only: your data stays viewable and exportable, but creating new projects and measurements is paused until you subscribe.

4. Subscription, prices and taxes

• The subscription is billed per active user in the organization, monthly or yearly, in Canadian or US dollars, at the prices shown when you subscribe.
• Applicable taxes (GST, QST, HST or US sales taxes) are calculated from your billing address and added to the price.
• The subscription renews automatically at the end of each period, at the then-current price, until cancelled. Users added or removed during a period are prorated.
• We will give you at least 30 days' notice of any price increase; it will only apply from the next period.
• Payments are processed by Stripe. If a payment fails, we may suspend access after notifying you.

5. Cancellation and refunds

You can cancel at any time from the billing settings. Cancellation takes effect at the end of the paid period; you keep access until then. Unless required by law, partial periods are not refunded.

If you are a consumer under Quebec's Consumer Protection Act or a similar law, you also have all the rights that law gives you, and nothing in these terms limits them.

6. Your data

You keep ownership of everything you add to the service (projects, measurements, notes, photos, templates). You only grant us the right to host, process and display it as needed to provide the service to you. You can export it at any time. How we handle personal information is described in our Privacy Policy.

7. Acceptable use

You agree not to:

• use the service for illegal purposes or to upload content you do not have the right to use;
• attempt unauthorized access to the service, other accounts or our systems, or disrupt their operation;
• copy, resell or reverse engineer the service, or use it to build a competing product;
• use bots or scripts that overload the service.

8. Measurements, calculations and artificial intelligence

MesuPro is an assistance tool. Calculations depend on the values entered, the units chosen and the template formulas. AI-generated templates are suggestions and may contain errors. It is up to you to check measurements, units, formulas and results before relying on them, in particular for a quote, a materials order or a technical decision.

9. Availability and changes to the service

We make reasonable efforts to keep the service available and secure, without guaranteeing that it will be free of interruptions or errors. We may evolve the service; if we remove a feature essential to your subscription, we will let you know in advance.

10. Limitation of liability

To the extent permitted by law, MesuPro is not liable for indirect damages (loss of profits, data or contracts) arising from the use of the service, and its total liability is limited to the amounts you paid for the service in the 12 months before the event. This limit does not apply where the law prohibits it, in particular toward a consumer or in case of intentional or gross fault.

11. Suspension and termination

We may suspend or close an account that breaches these terms, after notice where possible. You can close your account at any time. You can then ask for your data to be deleted, which is done within 30 days as described in our Privacy Policy; remember to export it first.

12. Changes to these terms

We may change these terms. We will notify you by email or in the application at least 30 days before a significant change takes effect. If you do not accept the new terms, you can cancel your subscription before that date.

13. Governing law

These terms are governed by the laws of Quebec and the federal laws of Canada that apply there. Disputes fall under the courts of the judicial district of MesuPro's head office, unless the law allows you to go to the court where you live. If a provision is found invalid, the others remain in effect.
